Purpose
These Terms of Use and Sale set out:
The rules governing use of the HiddenQ SaaS platform, designed for performance monitoring and data analysis.
The conditions applicable to the sale of subscriptions and any related services (such as onboarding, consulting or integrations).
Access and User Accounts
Access to the service requires the creation of a user account linked to a client organisation.
You agree to:
Provide accurate information when creating your account.
Keep your login credentials confidential.
Notify HiddenQ immediately in case of suspected compromise or fraudulent use.
HiddenQ reserves the right to suspend or delete any account in the event of breach of these terms, attempted intrusion, abuse or fraudulent use of the service.
Data and Responsibilities
You remain the sole owner of the data you import or connect to HiddenQ.
HiddenQ acts as a SaaS provider and technical host:
Data is hosted on Microsoft Azure (France), with logical separation between customers.
You are responsible for the content of the data you provide (accuracy, lawfulness, rights to use it).
You confirm that the data you upload:
Does not infringe any third-party rights (confidentiality, intellectual property, personal data without legal basis, etc.).
Does not breach any applicable law or regulation.
HiddenQ cannot be held liable for inaccurate, unlawful or unauthorised data uploaded by users.
HiddenQ implements security measures in line with industry standards (encryption, access controls, monitoring). However, no technology is infallible, and HiddenQ is bound by an obligation of means, not an obligation of result.
Subscriptions, Pricing and Billing
HiddenQ subscriptions are offered in different plans (for example: Start, Grow, Scale, Enterprise).
Unless otherwise stated:
Prices are in euros (EUR) and may be updated for new contracts or at renewal.
Payment is made by credit card via a secure payment provider.
Subscriptions are concluded for a monthly or annual period, with automatic renewal at the end of each period.
Cancellation is possible at any time, but takes effect at the end of the current billing period. No pro-rata refund is issued for a period already started.
Specific billing details are provided at the time of subscription.
No Rights of Withdrawal
Under article L221-28 of the French Consumer Code, there is no right of withdrawal for digital services that start before the end of the statutory withdrawal period.
By accessing the platform after subscribing, you expressly acknowledge that:
Service execution starts immediately.
You waive your right of withdrawal for the current subscription period.
Intellectual Property
The software, source code, interfaces, design, logos, the HiddenQ brand, and all content published by HiddenQ are protected by intellectual property laws.
Any reproduction, modification, distribution or exploitation, in whole or in part, without prior written authorisation is strictly prohibited.
Liability and Limitations
HiddenQ provides the platform “as is”, with an obligation of means.
HiddenQ cannot be held liable for:
Indirect damages, loss of revenue, contracts or profit.
Consequences of misuse of the service.
Impacts resulting from incomplete or inaccurate data provided by users.
To the fullest extent permitted by law, HiddenQ’s total aggregate liability towards a client is limited to the total amount actually paid by that client over the last 12 months.
Service Availability
HiddenQ aims to keep the platform available on a continuous basis, subject to maintenance, updates or technical interventions necessary for proper operation.
Temporary interruptions may occur. Where possible, clients will be informed of planned maintenance windows.
Applicable Law and Jurisdiction
These terms are governed by French law.
In the event of a dispute and failing amicable resolution, exclusive jurisdiction is given to the courts of the registered office of HiddenQ (Rouen, France), unless mandatory legal provisions require another court.
